Manner of representation

1. Each member of the management board is authorised, acting individually, to submit declarations of will on behalf of and to represent the association, subject to paragraph 2. 2. The disposal of a right, the incurring of a property obligation, and the submission of a declaration of will resulting in the disposal of a right or the incurring of a property obligation with a value exceeding PLN 10,000 require the joint action of two members of the management board. 3. Incurring obligations with a value exceeding PLN 100,000 requires a prior resolution of the General Meeting of Members. This requirement does not apply to employment contracts and civil-law contracts with the association’s employees and associates, or to contracts for the provision of healthcare services concluded with the National Health Fund. 4. The conclusion of employment contracts and civil-law contracts with the association’s employees and associates, irrespective of the value of the contract, falls within the competence of each member of the management board acting individually.
