Manner of representation

1. The partners entrust the conduct of the company’s affairs and its representation to the partner Zbigniew Miąsik. 2. Zbigniew Miąsik is entitled to conduct the company’s affairs independently within the scope of ordinary acts and within the scope of acts exceeding the scope of the ordinary affairs of the company, and within the same scope he is entitled to independently represent the company’s affairs, subject to the content of paragraph 4. 3. By a unanimous resolution, the partners may entrust the conduct of the company’s affairs to other partners or third parties. In such a case, in matters exceeding the scope of ordinary management acts, a resolution of the partners authorised to conduct the company’s affairs is required. 4. The partner Urszula Janina Gruca–Miąsik is excluded from conducting the company’s affairs and representing it, provided that an amendment to the company agreement and consent to the accession of a new partner require the consent of all partners expressed by way of a unanimous resolution.
