Manner of representation

1. Subject to § 30 point 2 of the Articles of Association, the President independently or two members of the management board acting jointly are authorised to represent the association. 2. The conclusion of agreements, granting powers of attorney, incurring property obligations and making declarations of will in all property matters require joint action and the signature of: a) one member of the management board, including the President or treasurer, when incurring an obligation up to PLN 5,000.00; b) two members of the management board, including the President or treasurer, when incurring an obligation up to PLN 50,000.00; c) two members of the management board, including the President or treasurer, after obtaining the consent of the General Meeting of Members, when incurring an obligation exceeding PLN 50,000.00. 3. The management board may grant a power of attorney to perform a specified type of acts. 4. In agreements between the association and a member of the management board and in disputes with such member, the association is represented by a member of the Audit Committee designated in a resolution of that body.
