Manner of representation

1. In the case of a one-person or two-person management board, the President of the Management Board or the Vice-President of the Management Board is authorized to dispose of rights or incur obligations independently. 2. In the case of a management board consisting of more than two persons: – for disposing of a right or incurring an obligation to render a performance with a value of up to PLN 200,000.00 (two hundred thousand zloty), the President of the Management Board or the Vice-President of the Management Board is authorized to act independently; – for disposing of a right or incurring an obligation to render a performance with a value exceeding PLN 200,000.00 (two hundred thousand zloty) and up to PLN 300,000.00 (three hundred thousand zloty), two members of the management board are authorized; – for disposing of a right or incurring an obligation to render a performance with a value exceeding PLN 300,000.00 (three hundred thousand zloty), two members of the management board are authorized. In this case, the consent of the partners’ meeting in the form of a resolution is required.
