Manner of representation

For submitting declarations of will in all property-related matters of the association, including incurring property-related obligations and concluding agreements on behalf of the association, the President and another member of the management board acting jointly, or the Vice-President and another member of the management board acting jointly, are authorised, subject to paragraph 2. In agreements between the association and a member of the management board and in disputes with such member, the association is represented by a member of the Audit Committee designated in a resolution of that body or by an attorney-in-fact appointed by a resolution of the General Meeting. In matters not giving rise to property-related effects for the association (signing letters and documents connected with the day-to-day activities of the association other than those indicated in paragraph 1, and certifying conformity with the original), the President or the Vice-President acting independently is authorised.
