Manner of representation

1. In the case of a one-person management board of the company, one member of the management board is authorised independently and without limitations to make declarations of will, sign and represent the company vis-à-vis third parties. 2. In the case of a multi-member management board of the company: a) the President of the multi-member management board of the company is authorised independently and without limitations to make declarations of will, sign and represent the company vis-à-vis third parties; b) each other member of the management board of the company is authorised independently to make declarations of will, sign and represent the company vis-à-vis third parties with respect to the company's property rights and obligations with a value not exceeding PLN 10,000; c) two members of the management board acting jointly are authorised to make declarations of will, sign and represent the company vis-à-vis third parties with respect to the company's property rights and obligations with a value exceeding PLN 10,000, provided that the prior consent of the partners' meeting in the form of a resolution to perform that act is required.
