Manner of representation

Each partner is entitled to represent the company in all judicial and extrajudicial matters. In the scope of ordinary matters, each partner entitled to conduct the affairs of the company may act without a prior resolution of the partners, unless any of the partners objects. In the event of an objection, the further conduct of the matter requires the consent of all partners. In matters exceeding the scope of the ordinary affairs of the company, the partners act on the basis of resolutions adopted with the consent of all partners. Acts resulting in obligations for the company exceeding PLN 3,000 do not fall within the scope of ordinary matters. An urgent act, failure to perform which could cause irreparable losses to the company, may be performed by each partner entitled to conduct the affairs of the company.
