In the case of a one-person management board, the President of the Management Board of the company is authorized to make declarations of will concerning the company’s property rights and obligations, represent it vis-à-vis third parties, and sign. The disposal of a right or the assumption of an obligation to provide a performance with a value exceeding PLN 200,000.00 (two hundred thousand złoty) requires the prior consent of the company’s supervisory board. Article 230 of the Code of Commercial Companies does not apply. In the case of a multi-member management board of the company, two members of the management board acting jointly, or one member of the management board acting jointly with a commercial proxy, are authorized to make declarations of will concerning the company’s property rights and obligations, represent it vis-à-vis third parties, and sign. The disposal of a right or the assumption of an obligation to provide a performance with a value exceeding PLN 200,000.00 (two hundred thousand złoty) requires the prior consent of the company’s supervisory board. Article 230 of the Code of Commercial Companies does not apply.
