Manner of representation

Each partner is entitled to represent the company within the scope of ordinary management. For acts exceeding ordinary management, joint action by two partners, or by one partner together with a commercial proxy, or by two commercial proxies jointly, is required. Acts of disposition, acts creating obligations or encumbering acts whose value, as at the date of performing the act or making the declaration of will, does not exceed PLN 20,000 shall be deemed acts within the scope of ordinary management. In addition, acts exceeding ordinary management shall be deemed to include, regardless of their value, acts whose value cannot be determined as at the date of making the declaration of will, as well as any acts concerning the company's real property.
