Manner of representation

The Presidium of the Main Management Board is authorised to acquire and encumber real estate forming part of the association’s assets, to provide sureties and to establish security interests over real estate and movable property forming part of the association’s assets. Where the value of the liabilities arising from the activities specified in the first sentence, calculated from the beginning of the year, is to exceed one tenth of the value of the association’s equity shown in the balance sheet as at the end of the preceding year, the performance of these activities requires the consent of the Main Management Board expressed in the form of a resolution. This restriction does not apply to sureties and security interests provided by the association in connection with the use of grants or funds from European Union funds. The disposal of real estate forming part of the association’s assets requires the prior consent of the Main Management Board expressed in the form of a resolution. The Presidium of the Main Management Board is authorised to acquire, dispose of and encumber movable property forming part of the association’s assets, as well as to conclude agreements, grant powers of attorney and submit declarations of will in all matters concerning the association’s assets, and, with the exception of matters specified in section I of Article 42 of the articles of association, the presidia of the management boards of regional branches are also authorised within their respective scope. The presidia of the management boards of regional branches may, within the scope concerning organisational units subordinate to the management boards of regional branches, transfer their powers to the management of those units by way of a resolution. The submission of declarations of will requires the joint action of two members of the presidium of the competent management board.
