Manner of representation

The management board is the executive body representing the chamber – § 21 of the Articles of Association. All members of the management board are authorised to represent the chamber in ordinary management matters independently, subject to § 21 points 18 and 19 of these Articles of Association – § 21 point 17 of the Articles of Association. In the case of a one-person management board, a member of the management board is authorised independently to make non-property declarations, sign on behalf of the chamber and represent the chamber; the President of the Management Board is authorised to make declarations concerning the chamber’s property rights and obligations independently up to a one-off amount of PLN 3,000.00 (three thousand złoty) and an aggregate annual amount of PLN 30,000 (thirty thousand złoty), while for amounts exceeding a one-off amount of PLN 3,000.00 (three thousand złoty) and an aggregate annual amount of PLN 30,000 (thirty thousand złoty), the President of the Management Board and the Chairperson of the Supervisory Board act jointly – § 21 point 18 of the Articles of Association. In the case of a multi-member management board, two members of the management board acting jointly are authorised to make declarations on behalf of the chamber concerning its property and non-property rights and obligations and to represent the chamber. All members of the management board are authorised to represent the chamber independently – § 21 point 19 of the Articles of Association.
