Manner of representation

The following persons are authorized to represent the company: 1. each member of the management board acting independently – in respect of: a) legal acts involving the disposal of a right or the incurring of an obligation with a value not exceeding PLN 400,000 (four hundred thousand) or the equivalent of this amount in another currency (in the case of agreements for a period longer than one year, the value of the right or obligation is calculated for a one-year period), as well as legal acts (including the making of declarations of will or knowledge) that do not result in the disposal of a right or the creation of an obligation on the part of the company; b) acts before courts in non-contentious, interim or enforcement proceedings and, provided that the value of the subject matter of the dispute or the value of the subject matter of the appeal in a single case does not exceed PLN 400,000 (four hundred thousand) or the equivalent of this amount in another currency, in contentious proceedings (including separate proceedings); and c) acts before public administration authorities (state, government and local government administration authorities), including tax offices, branches (units) of the Social Insurance Institution, statistical offices and administrative appellate authorities, as well as acts before administrative courts – in each case, regardless of the subject matter of the proceedings. 2. two members of the management board acting jointly – in respect of the company's judicial and extrajudicial acts other than those specified in point 1 above.
