Manner of representation

I. Each partner has the right to represent the company in all judicial and extrajudicial acts (Clause 11 of the agreement). II. 1. Each partner has the right and obligation to conduct the affairs of the company. 2. Each partner may, without a prior unanimous resolution of the partners, conduct affairs not exceeding the scope of the ordinary activities of the company. 3. The scope of the ordinary activities of the company (the scope of ordinary management) is that whose value does not exceed PLN 40,000 (forty thousand złoty). 4. A unanimous resolution of the partners is required for acts exceeding the ordinary scope of management. 5. Each partner may, without a prior resolution of the partners, perform an urgent act whose omission could expose the company to irreparable losses. 6. Each partner is authorised to make declarations of will and affix signatures within the scope of the company's property rights and obligations concerning acts of ordinary management (Clause 12 of the agreement).
