Manner of representation

The submission of declarations of will and the incurring of liabilities in matters: a) concerning legal transactions with a value exceeding PLN 70,000.00 or in which the annual value of benefits exceeds PLN 70,000.00; b) credit agreements and co-financing agreements, regardless of the value of the benefit; c) incurring bill-of-exchange liabilities and guarantees, regardless of the value of the benefit, require the action of two members of the management board, including the President of the Management Board or Vice-President. In other matters, the President of the Management Board or Vice-President is authorised to submit declarations of will and incur liabilities independently, or two members of the management board acting jointly.
