For determining the value of the right or obligation, the following shall be assumed: a) for continuous agreements concluded for an indefinite period – the sum of the company’s performances for a period of one year, and for agreements concluded for a definite period – the sum of the company’s performances for the entire term of the agreement; and b) for agreements in a foreign currency – the equivalent in PLN according to the average exchange rate of the National Bank of Poland announced on the last business day of the preceding calendar quarter. Each member of the management board is authorised to make declarations of will on behalf of the company. However, in the case of a multi-member management board, incurring an obligation or disposing of a right with a value exceeding PLN 100,000.00 (one hundred thousand zloty) net requires the joint action of two members of the management board, or of a member of the management board and a commercial proxy, or of two commercial proxies jointly. The rules indicated above apply to determining the value of the right or obligation.
