1. In matters exceeding the scope of ordinary management of the foundation’s affairs, the two members of the management board require a resolution of the management board to act. 2. Making a declaration of will involving disposition of a right or incurring an obligation with a value exceeding PLN 5,000 requires the countersignature of the President. 3. The President of the foundation may appoint a commercial proxy. The commercial proxy represents the foundation independently. The appointment and revocation of the commercial proxy require the consent of all members of the management board. Declarations of will concerning the performance of the employer’s duties are made by the President or an attorney-in-fact appointed by the President.
