Manner of representation

The scope of the management board’s activities includes all matters of the company not reserved by law, the articles of association or a resolution for the meeting of partners. The management board represents the company externally in relation to authorities and third parties, both in and out of court. In matters not exceeding the scope of the company’s ordinary activities, each member of the management board independently or an appointed commercial proxy is authorised to represent the company externally, make declarations of will concerning the company’s rights and obligations and sign on behalf of the company. Within the same scope, the management board may dispose of a right or undertake obligations to render a performance with a value equal to one half of the amount of the share capital as at the date of the company’s registration, and this does not require a resolution of the meeting of partners. In matters exceeding the scope of the company’s ordinary activities, an appropriate resolution of the management board is required. To represent the company externally, make declarations of will concerning the company’s rights and obligations and sign on behalf of the company in matters exceeding the scope of the company’s ordinary activities, the joint action of two members of the management board or one member of the management board jointly with a commercial proxy is required. Resolutions of the management board are adopted unanimously.
