Manner of representation

1. The following are authorised to represent the foundation and make declarations of will on its behalf: a) the President of the Management Board independently, or b) two members of the management board jointly. 2. The management board may appoint attorneys-in-fact to conduct particular matters of the foundation. The appointment and dismissal of an attorney-in-fact require the consent of all members of the management board. 3. The President of the Management Board performs the functions of the employer’s establishment manager within the meaning of the provisions of the Labour Code. 4. A declaration made to the foundation and service of documents may be effected upon one member of the management board or an attorney-in-fact appointed by the management board. 5. In agreements between the foundation and members of the management board and in disputes with them, the functions of representation are performed by an attorney-in-fact appointed by a resolution of the management board.
