Manner of representation

1. Each partner is entitled to represent the partnership before government and administrative authorities in matters related to the partnership's scope of activity. 2. Each partner is independently entitled to make declarations of will concerning property rights, including concluding agreements, signing transfers and other financial documents, subject to the reservation arising from point 3. 3. In matters concerning: a) the acquisition, disposal or encumbrance of real estate; b) the acquisition or disposal of, or creation of an encumbrance over, an enterprise; c) incurring loans and borrowings; d) granting loans, sureties or guarantees; e) incurring obligations or undertaking to render a performance with a value exceeding PLN 200,000, the partnership is represented by all partners acting jointly, unless a unanimous resolution has been adopted; in that case, the partnership may be represented by each partner independently.
