Manner of representation

1. For acts involving the disposal of a right or the incurrence of an obligation to render a performance with a value not exceeding PLN 50,000.00, each member of the management board is authorised to act independently. 2. Where the management board is a multi-member management board, acts involving the disposal of a right or the incurrence of an obligation to render a performance with a value exceeding PLN 50,000.00 require the joint action of two members of the management board or of a member of the management board jointly with a commercial proxy. Where the management board is a one-person management board, the member of the management board is authorised to perform all acts independently. 3. Disposal of a right or incurrence of an obligation to render a performance with a value exceeding the amount of the share capital, including the acquisition and disposal of real property, perpetual usufruct or an interest in real property or in perpetual usufruct, requires a resolution of the partners' meeting.
