Manner of representation

Each partner is entitled to represent the company in all judicial and extrajudicial matters. The partners exercise this right independently. In matters concerning the ordinary activities of the company, each partner entitled to conduct the affairs of the company may act without a prior resolution of the partners, unless any partner objects. In the event of an objection, further conduct of the matter depends on the consent of all partners. In matters exceeding the scope of the ordinary activities of the company, the partners act on the basis of resolutions adopted by all partners. Acts resulting in obligations for the company exceeding PLN 1,000,000.00 do not fall within the scope of ordinary activities. An urgent act whose omission could cause serious damage to the company may be performed by any partner entitled to conduct the affairs of the company.
