Manner of representation

1. A declaration of will on behalf of the foundation is made by the President of the Management Board jointly with a second member of the management board. 2. In matters concerning the employment of employees and in matters not related to the incurring by the foundation of property liabilities exceeding PLN 5,000 (in words: five thousand zlotys), a declaration of will on behalf of the foundation may be made independently by the President of the foundation’s management board. 3. In the case of a one-person management board, declarations of will on behalf of the foundation within the scope of the tasks of the management board referred to in § 25 points 1, 7, 8 and 11 of the Articles of Association are made by the President of the Management Board independently. 4. In the case of a one-person management board, declarations of will on behalf of the foundation within the scope of the tasks of the management board referred to in § 25 points 2, 3, 4, 5, 6, 9 and 10 of the Articles of Association are made by the President of the Management Board after obtaining the consent of the President of the foundation council. 5. In matters related to the incurring by the foundation of property liabilities exceeding the amount referred to in § 30 section 2, the President of the one-person management board may make a declaration of will on behalf of the foundation after first obtaining the consent of the foundation council in the form of a resolution.
