Manner of representation

1. Each partner has the right to represent the company independently, except in the following matters: a) incurring obligations whose value exceeds PLN 50,000 (fifty thousand); b) making any other disposition of the company's assets with a value exceeding the above-specified amount; c) concluding employment contracts with the company's employees and determining remuneration; d) deciding on the selection of entities responsible for the company's legal and accounting services; e) granting or revoking commercial proxies. 2. In the matters indicated in points a–e, the joint action of two partners is required to make declarations of will on behalf of the company.
