Manner of representation

1. Each member of the management board has the right to independently conduct the affairs of the company within the scope not exceeding ordinary activities. 2. In matters exceeding the scope of ordinary activities, all members of the management board decide by adopting resolutions by a simple majority of votes. 3. In the event of an equal number of votes, the vote of the President of the Management Board decides. 4. In matters not exceeding the scope of the company's ordinary activities, each member of the management board independently makes declarations and signs on behalf of the company, whereas in matters exceeding the scope of the company's ordinary activities, two members of the management board jointly or a member of the management board jointly with a commercial proxy make declarations and sign on behalf of the company. 5. A matter exceeding the scope of the company's ordinary activities is deemed to be one whose individual value exceeds PLN 100,000 (one hundred thousand zlotys). 6. If the management board is a one-person management board, one member of the management board makes declarations and signs on behalf of the company.
