Manner of representation

Pursuant to paragraph 1 of § 10 of the Articles of Association of the Foundation for Employment Protection, Equal Rights and Employee Rights, adopted on 14 December 2007, hereinafter referred to as the Foundation’s Articles of Association: the foundation is represented by the foundation’s management board. The President of the Foundation’s Management Board is authorized to submit declarations of will on behalf of the foundation, provided that the disposal of a right or the incurring of an obligation exceeding the amount specified in paragraph 2 of § 10 of these Foundation’s Articles of Association requires the joint action of the President of the Foundation’s Management Board and another member of the Foundation’s Management Board. Paragraph 2 of § 10 of the Foundation’s Articles of Association: in matters concerning the employment of employees and in matters not related to incurring property obligations exceeding PLN 80,000.00 (eighty thousand Polish zlotys), declarations of will on behalf of the foundation may be submitted independently by the President of the Foundation’s Management Board.
