Manner of representation

The President of the Management Board appointed by the shareholders' meeting is authorized to independently make declarations and perform legal acts as the person independently authorized to represent the company and conduct its affairs. If additional members of the management board, besides the President of the Management Board, are appointed by the shareholders' meeting, the following are authorized to represent the company and conduct its affairs, including making declarations of will on its behalf: – the President of the Management Board acting independently; – all other members of the management board, but not fewer than two members of the management board, acting jointly. The restriction on the possibility of representing the company specified in the preceding paragraph does not apply to declarations of will made by each of the other members of the management board on behalf of the company concerning the disposal of rights or the incurring of obligations to provide performances with a value not exceeding PLN 60,000 (sixty thousand złoty), which declarations they are entitled to make independently.
