Manner of representation

1. In the case of a one-person management board, the President of the Management Board acting independently or a commercial proxy acting independently, or an attorney-in-fact acting independently within the scope of authorisation, is authorised to submit declarations of will and sign documents on behalf of the company. 2. In the case of a multi-member management board, the following are authorised: a) the President of the Management Board independently in the case of disposing of a right or incurring an obligation to render a performance with a value of up to PLN 50,000.00 (fifty thousand zlotys); b) the President of the Management Board jointly with a Vice-President of the Management Board or a commercial proxy in the case of disposing of a right or incurring an obligation to render a performance with a value exceeding PLN 50,000.00 (fifty thousand zlotys).
