Manner of representation

To make declarations of will and sign documents on behalf of the company, in the case of a one-person management board, a member of the management board acting independently is authorised. In the case of a multi-member management board, for declarations of will and signing documents, each member of the management board is authorised where the acts involve the disposal of a right or may result in the company incurring obligations to render performances up to the amount of PLN 5,000 (five thousand zlotys). In matters involving the disposal of a right or which may result in the company incurring obligations to render performances with a value exceeding PLN 5,000 (five thousand zlotys) up to five times the amount of the share capital, the joint action of two members of the management board is required; in other matters involving the disposal of a right or which may result in the company incurring obligations to render performances with a value exceeding five times the amount of the share capital, the joint action of three members of the management board is required.
