Manner of representation

The persons authorised to represent the company vis-à-vis third parties are: MARTA OLSZEWSKA and MARCIN OLSZEWSKI, according to the following rules: a) where the subject matter of the act is a performance not exceeding PLN 5,000.00 (five thousand zloty), each of them independently – in such case, the submission of declarations of will on behalf of the company requires the participation of one partner; b) where the subject matter of the act is a performance exceeding PLN 5,000.00 (five thousand zloty) but not exceeding PLN 15,000.00 (fifteen thousand zloty), the partners are authorised to conduct the affairs of the company jointly – in such case, the submission of declarations of will on behalf of the company requires the joint participation of two partners; c) where the subject matter of the act is a performance exceeding PLN 15,000.00 (fifteen thousand zloty), a resolution adopted unanimously by all partners is required each time, expressing consent to perform the act and indicating the person authorised to submit declarations of will on behalf of the company in this matter.
