Manner of representation

1. Each partner has the right to represent the company, subject to paragraphs 2–7. 2. In matters involving the assumption of a financial obligation and the acquisition of a right with a value exceeding PLN 20,000 (twenty thousand zloty) in a single transaction, as well as in matters concerning establishing, amending or terminating, on behalf and for the benefit of the company, employment relationships or other forms of employment by the company, two partners jointly or one partner jointly with a commercial proxy are authorised to make declarations of will and sign on behalf of the company. 3. Each partner is independently authorised to receive declarations originating from third parties and to conduct the affairs of the company that do not exceed the scope of the ordinary activities of the company. 4. Affairs that do not exceed the scope of the ordinary activities of the company shall mean affairs causing the assumption of financial obligations in the name and for the benefit of the company not exceeding PLN 20,000 (twenty thousand zloty) in a single transaction. 5. Each partner may, without a partners’ resolution, undertake an urgent action the omission of which would expose the company to irreparable loss. 6. Each partner may authorise the remaining partners to act on their behalf on the basis of a written power of attorney. 7. Resolutions in the company are adopted unanimously. 8. The appointment of a commercial proxy requires the consent of all partners; however, each partner may revoke the commercial proxy authority.
