Manner of representation
1. The President independently or the member of the management board for organisational matters independently is authorised to represent the Association externally in all civil-law activities. 2. The President independently or the management board of the Association, by unanimously adopting a resolution, is authorised to grant an attorney-in-fact authority to represent the Association externally and to perform factual acts; however, this does not include the right to grant an attorney-in-fact authority for the purpose of incurring obligations or acknowledging receipt of any funds on behalf of the Association. 3. In financial matters: - up to the gross amount of PLN 5,000, incurring financial obligations requires an individual decision of the President or the member of the management board for organisational matters; - above the gross amount of PLN 5,000, incurring financial obligations requires the consent of at least two members of the Association’s management board, including the President.
