Manner of representation

In the case of a one-person management board, declarations of will concerning the proprietary rights and obligations of the company shall be made by the President of the Management Board independently. In the case of a multi-member management board, declarations of will concerning the proprietary rights and obligations of the company shall be made by the President of the Management Board independently, or by two other members of the management board acting jointly. The company’s management board is authorised, in respect of trade obligations arising from the trading in goods related to the company’s business activity, to dispose of rights or incur obligations to provide performance of any value, without limitation, without the need for a resolution of the shareholders’ meeting.
