Manner of representation

The management board is authorized to represent and submit declarations on behalf of the company, subject to the provisions contained in point 1 of § 7, which reads: The partners shall conduct the affairs of the company jointly in such a manner that declarations made to third parties in the presence of all partners together shall bind them. Each of them is, however, authorized to receive declarations of will originating from third parties. Each partner is also authorized and obliged to independently conduct affairs not exceeding the scope of the ordinary activities of the company. However, if any of the partners objects to the conduct of a particular matter, a resolution of the partners is required. Financial obligations exceeding PLN 25,000.00 do not fall within the scope of the ordinary activities of the company.
