Manner of representation

1. Each partner is entitled and obliged to conduct the company's affairs. 2. Each partner may, without a prior partners' resolution, conduct affairs that do not exceed the scope of the company's ordinary management. However, if, before the affair is completed, even one of the partners objects to its conduct, a partners' resolution is required. 3. Each partner may, without a prior partners' resolution, perform an urgent act whose non-performance could expose the company to losses. 4. Each partner is entitled to represent the company within the limits within which they are entitled to conduct its affairs. 5. Obligations or expenditures exceeding PLN 100,000 (one hundred thousand zloty) do not fall within the scope of the company's ordinary management and must be approved by two partners.
