Manner of representation

In the case of a one-person management board, a member of the management board independently or a sole commercial proxy independently is authorised to represent the company. In the case of a multi-member management board, the following are authorised to represent the company: 1. each member of the management board independently in matters concerning the disposal of a right or incurring an obligation to perform with a value less than or equal to PLN 25,000.00 (twenty-five thousand zlotys) gross, both within one transaction and within several transactions aimed at achieving the same business purpose; in the case of continuous or periodic obligations, the value of the performances for their entire duration is aggregated, and if they are incurred for an indefinite period, the value of the performances for 12 months is aggregated; 2. all members of the management board acting jointly or a sole commercial proxy independently in matters concerning the disposal of a right or incurring an obligation to perform with a value exceeding PLN 25,000.00 (twenty-five thousand zlotys) gross, both within one transaction and within several transactions aimed at achieving the same business purpose; in the case of continuous or periodic obligations, the value of the performances for their entire duration is aggregated, and if they are incurred for an indefinite period, the value of the performances for 12 months is aggregated.
