Manner of representation

Each member of the management board is authorised to represent the association independently. The acceptance of financial resources and other benefits for the association, including those arising from donations, grants and other agreements, may be carried out by one member of the management board acting independently. Pecuniary obligations may be incurred on behalf of the association: 1. by one member of the management board acting independently within the scope of ordinary management activities, including daily expenditure and obligations necessary to maintain the association’s current operations; 2. by two members of the management board acting jointly in the case of activities exceeding the scope of ordinary management activities or where the value of the obligation exceeds PLN 10,000. The foregoing does not exclude the possibility of the management board appointing an attorney-in-fact authorised to represent the association independently.
