Manner of representation

The person entitled to represent the company is the general partner. The general partner, GPX limited liability company, is represented each time by its members of the management board, in accordance with the rules of representation applicable at GPX limited liability company. The joint action of at least two members of the management board is required to represent GPX limited liability company and to make declarations on its behalf. In the case of representation and making declarations of will as a result of which the company incurs an obligation with a value not exceeding PLN 10,000.00 (ten thousand złoty), each member of the management board may represent the company independently. In the case of periodic obligations, when determining their value for the purpose of calculating the method of representation, the sum of the performances for six months shall be taken into account. Each member of the management board may also represent the company independently before public administration authorities (government and local-government authorities, tax authorities), including being entitled to independently sign tax declarations and tax returns, apply for certificates, and act before the Social Insurance Institution. In the case of a one-person management board, the member of the management board represents the company independently.
