Manner of representation

The following are authorized to submit declarations of will on behalf of the company: a) in the case of a one-person management board – the member of the management board acting independently; b) in the case of a multi-member management board: – one member of the management board acting independently if the declaration submitted results in an obligation arising with a value not exceeding the equivalent of EUR 2,500 (two thousand five hundred euros), calculated according to the average exchange rate of the National Bank of Poland on the date on which the obligation arises; – two members of the management board acting jointly or one member of the management board acting jointly with a commercial proxy if the declaration submitted results in an obligation arising with a value exceeding the equivalent of EUR 2,500 (two thousand five hundred euros), calculated according to the average exchange rate of the National Bank of Poland on the date on which the obligation arises.
