Manner of representation

In the event of appointment of a one-person management board, for submitting declarations concerning the company's proprietary rights and obligations and signing documents on behalf of the company causing disposal of a right whose value does not exceed PLN 30,000.00 (thirty thousand zlotys) inclusive or creation of an obligation to render a performance with a value of PLN 30,000.00 (thirty thousand zlotys) inclusive, the President of the Management Board and the commercial proxy are authorized independently; above this amount, the President of the Management Board together with the commercial proxy or two commercial proxies acting jointly. In the event of appointment of a multi-member management board, for such matters up to and including this amount, each member of the management board and the commercial proxy are authorized independently; above this amount, two members of the management board, one member of the management board together with the commercial proxy, or two commercial proxies acting jointly. For submitting declarations of will concerning the company's non-proprietary rights and obligations and signing documents on behalf of the company, each member of the management board, the commercial proxy and the attorney-in-fact are authorized independently within the scope of their authorization.
