Each member of the management board is entitled to represent the company individually when making declarations of will concerning: a) employment agreements, service agreements and management agreements, excluding agreements concerning persons at director level or higher; b) agreements for the sale (acquisition and disposal) of motor vehicles and preliminary agreements, provided that the company is not the seller; c) bank loan agreements and leasing agreements, together with security interests relating to those agreements, concerning the financing of the acquisition or use of motor vehicles; d) agency agreements with insurance companies; e) cooperation agreements concerning the servicing of motor vehicles; f) agreements other than those specified in points a)–e), provided that the value of the performances specified therein over the entire term of the agreement does not exceed PLN 50,000.00. 3. If the company is a partner in a partnership, two members of the management board are authorised to make declarations of will on behalf of the represented company, conclude agreements and incur liabilities, and act on behalf of the represented company before courts and administrative authorities; however, when making declarations of will on behalf of the represented company in the scope specified in point 2, each member of the management board is authorised to represent it individually.
