Manner of representation

In the case of a one-person management board, the member of the management board is authorised to submit declarations and sign on behalf of the company independently, whereby the President of the Management Board, irrespective of the number of members of the management board, always has the right to represent the company independently. In the case of a multi-member management board, each member of the management board has the right to represent the company independently; however, when entering into agreements and obligations, including loans, to submit declarations whose value exceeds PLN 200,000.00 (two hundred thousand złoty), joint action by two members of the management board or by a member of the management board jointly with a commercial proxy is required.
