Manner of representation

The company is represented by the general partner acting independently or by a limited partner acting as a commercial proxy or attorney-in-fact of the company, also through appropriately authorised members of their statutory bodies. The general partner (POI Przedsiębiorstwo Obsługi Inwestycji spółka z ograniczoną odpowiedzialnością w organizacji) is represented as follows: in the case of appointment of a one-person management board, one member of the management board acting independently is authorised to make declarations of will concerning the company’s proprietary and non-proprietary rights and obligations, represent it before third parties and sign on behalf of the company. In the case of appointment of a two-person management board, for making declarations of will concerning the company’s proprietary and non-proprietary rights and obligations, representing it before third parties and signing on behalf of the company: the President of the Management Board independently, and the Vice-President jointly with the President of the Management Board (joint action of both members of the management board is required). The general partner – POI Przedsiębiorstwo Obsługi Inwestycji spółka z ograniczoną odpowiedzialnością w organizacji – is represented independently by the President of the Management Board, Sławomir Stanisław Florczak.
