In the case of a one-person management board – the sole appointed member of the management board, or an attorney-in-fact appointed by that member. 2) In the case of a multi-member management board: with regard to transactions involving dispositions of property or the assumption of obligations concerning a right with a value: a) not exceeding PLN 1,000,000.00 – each member of the management board independently; b) exceeding PLN 1,000,000.00 – two members of the management board acting jointly. For carrying out a specified type of transaction, the management board may appoint attorneys-in-fact, subject to the provisions of points 1 and 2 above, acting, as applicable, independently or jointly with one of the members of the management board. In the case of transactions between the foundation and a member of the management board, the foundation is represented by 1) another member of the management board acting independently, 2) in the absence of the member of the management board indicated in point 1) above – any founder acting independently who is not simultaneously a member of the management board and is not related to the member of the management board by kinship, marriage or affinity. In the case of transactions between the foundation and a member of the management board, the value limitation referred to in § 24 section 2 point 2 of the foundation's statutes does not apply. Declarations addressed to the foundation may be made to one member of the management board or an appointed attorney-in-fact.
