Manner of representation

In the case of a one-person management board, the foundation’s representation is by one person. A declaration of will on behalf of the foundation within the scope of ordinary management may be made by each member of the management board individually. Acts of ordinary management are considered to be acts of day-to-day administration of the foundation’s affairs and, in financial matters, acts causing financial obligations not exceeding PLN 1,500. In legal acts exceeding ordinary management and, in financial matters, acts causing financial obligations exceeding PLN 1,500, the foundation is represented by two members of the management board acting jointly, including the President or Vice-President.
