Manner of representation

In the case of a one-person management board, each member of the management board is authorised to submit declarations of will and sign on behalf of the company independently, whereby the President of the Management Board, irrespective of the number of members of the management board, always has the right to represent the company independently. In the case of a multi-member management board, each member of the management board has the right to represent the company independently; however, when concluding agreements and incurring obligations, including loans, to submit declarations of will whose value exceeds PLN 200,000.00 (two hundred thousand zlotys), the joint action of two members of the management board, or of a member of the management board together with a commercial proxy, is required.
