Manner of representation

For making declarations of will concerning the company’s property and non-property rights and obligations and for signing documents on behalf of the company, the President of the Management Board is authorized independently, and the Vice-President of the Management Board – if a partner – independently, or two members of the management board jointly, or one member of the management board jointly with a commercial proxy. In matters concerning incurring liabilities or disposing of a right whose value exceeds EUR 50,000 (fifty thousand euros) in a single transaction or the equivalent in PLN according to the NBP exchange rate, or in a calendar month exceeds in total EUR 150,000 (one hundred fifty thousand euros) or the equivalent in PLN according to the NBP exchange rate, action by the President of the Management Board and the Vice-President of the Management Board jointly is required, or joint action by the President of the Management Board with a member of the management board or a commercial proxy, or by the Vice-President of the Management Board jointly with a member of the management board or a commercial proxy. For signing agreements concerning intangible assets and rights owned by the company, in particular patent rights, licenses, utility models and other assets constituting the company’s image, the joint action of the President of the Management Board with the Vice-President of the Management Board or another member of the management board is required.
