Manner of representation

In the case of a one-person management board, the President of the Management Board is authorized to make declarations on behalf of the company independently. In the case of a multi-member management board, with respect to incurring liabilities and disposing of rights with a value in Polish złoty converted according to the average NBP exchange rate on the day preceding the conclusion of the transaction, the following are authorized to make declarations on behalf of the company: a) in the case of a one-off transaction up to EUR 5,000, each member of the management board independently; b) in the case of a one-off transaction above EUR 5,000, the joint action of two members of the management board or of one member of the management board together with a commercial proxy is required.
