Manner of representation

The right to represent the company and conduct its affairs is vested in the general partner as well as in the commercial proxy. In matters exceeding the scope of ordinary management, the consent of the limited partner – Tomasz Małas or Magdalena Krenz-Małas – is required. The assumption by the limited partnership of an obligation towards one contractor in an amount exceeding PLN 100,000.00 (one hundred thousand złoty), and, in the case of continuing contracts, if the annual value of the obligations payable by the company exceeds PLN 100,000.00 (one hundred thousand złoty), do not fall within the scope of ordinary management. When taking out loans and cash loans, disposing of or relinquishing ownership of fixed-asset components, or encumbering individual components of the fixed assets with a limited right in rem, written consent of the founding limited partner Tomasz Małas or Magdalena Krenz-Małas is required, regardless of the amount. The provisions of paragraphs 3 and 4 shall not apply where the persons authorised to represent the company are exclusively the limited partners Tomasz Małas (as President of the one-person management board of the general partner) and Magdalena Krenz-Małas (as commercial proxy). An urgent act, the omission of which could cause serious damage to the company, may be performed by each partner independently.
