Manner of representation

All partners are authorized to represent the company. Each partner is authorized to make declarations of will on behalf of the company, unless the matter exceeds the scope of ordinary activities. In such a case, joint action by the partners within the scope of representation is required. Matters exceeding the scope of ordinary activities for which joint action by the partners within the scope of representation is required include, in particular: 1. the disposal of and leasing of the enterprise or its organized part and the establishment of a limited property right in rem thereon; 2. the acquisition and disposal of real estate, perpetual usufruct or a share in real estate; 3. the conclusion of leasing agreements; 4. the conclusion of rental or lease agreements if the total rent arising from a given agreement during a three-month period exceeds PLN 20,000 (twenty thousand złoty); 5. incurring other commercial liabilities (contracts) in an amount exceeding PLN 20,000 (twenty thousand złoty).
