Manner of representation

Each partner is entitled to conduct all affairs of the company and to represent the company in this regard. In the same regard, each partner is entitled to receive declarations made by third parties. In matters exceeding the scope of the ordinary activities of the company, a unanimous resolution of all partners of the company is required. Each partner entitled to represent the company may, without a resolution, undertake an act exceeding the scope of the ordinary activities of the company where failure to undertake it could cause serious damage to the company. By resolution, the partners may authorize one of them to independently conduct a specific matter or matters exceeding the scope of the ordinary activities of the company. Matters exceeding the scope of the ordinary activities of the company include: - incurring, on behalf of the company, liabilities exceeding the amount of PLN 50,000.00 (in words: fifty thousand and 0/100 zlotys); - disposing of the company's assets with a value exceeding the amount of PLN 50,000.00 (in words: fifty thousand and 0/100 zlotys); - concluding employment contracts with the company's employees.
